• Permitted, securities, not land

What you actually hold

• This is not land law. In a fractional deal you almost always hold securities, either shares or debentures in a special purpose vehicle, an LLP interest, or units in a SEBI registered small and medium REIT. You do not hold the building. Your name does not appear on the title deed. The SPV or the REIT trust is the registered owner.

Key rules and restrictions

• An unregulated fractional platform gives you no regulator to complain to if the sponsor fails.
• A small and medium REIT is regulated by SEBI, has a minimum subscription of Rs 10 lakh per investor and a scheme size of at least Rs 50 crore.
• A small and medium REIT must hold at least 95% of scheme assets in completed and revenue generating property.
• Exit depends on someone buying your share. A private SPV share has no ready market.

Funds and process

• Domestic funds into the SPV or the REIT scheme. Read the shareholders agreement for the drag along, tag along and exit waterfall before you wire anything.

Taxes

• Returns arrive as dividend, interest or rent share and are taxed by their character, not as property income. Gains on unlisted shares held over 24 months are long term. Units of a listed small and medium REIT follow the REIT taxation rules, so run the numbers with a chartered accountant.

• Ask whether the vehicle is SEBI registered and get the registration number.
• Read the title report on the underlying asset, not just the brochure.
• Check who controls the decision to sell and on what majority.
